Form SB-2 was the Securities Act registration form for small business issuers under Regulation S-B, with scaled disclosure requirements compared with Form S-1. It was widely used for small IPOs, self-underwritten offerings and resale registrations.
In 2008 the SEC replaced Regulation S-B with the scaled smaller reporting company rules in Regulation S-K, and Forms SB-1 and SB-2 were phased out. Small companies now register on Form S-1. EDGAR's SB-2 series ends in February 2008.
Small business issuers, generally US or Canadian companies with revenues under $25 million, under the former Regulation S-B.
