Foreign private issuers file their annual report on Form 20-F. If one cannot do so by the deadline, it files Form 12b-25, which EDGAR labels NT 20-F. Filed within one business day of the due date, the notice gives the issuer an extra 15 calendar days.
The notice explains the reason for the delay and any significant change in results expected, which makes it a useful early signal for cross-listed companies with audit or reporting problems.
