When a company cannot file its Form 10-K by the deadline, it files Form 12b-25, which EDGAR labels NT 10-K, no later than one business day after the due date. If the notice is filed and the 10-K follows within 15 calendar days, the report is treated as timely for most purposes.
Part III of the form explains why the report is late, and Part IV must disclose any significant change in results the company expects to report. Late filing notices are a well known warning sign: audit disputes, restatements and going concern questions often surface here first.
