What is T-3?

Form T-3 is used to qualify an indenture under the Trust Indenture Act of 1939 when debt securities are issued in a transaction exempt from Securities Act registration, most often a Section 3(a)(9) exchange offer or a bankruptcy reorganization under Section 1145.

T-3 filings therefore cluster around debt restructurings and Chapter 11 exits, which makes them a useful distressed debt signal.

Who files

Issuers of debt securities in registration-exempt exchanges or reorganizations that still need a qualified indenture.

When it is filed

Before the securities are issued; the indenture must be qualified before issuance.

FAQ

Why is a T-3 needed if there is no registration?

Exempt securities can still be subject to the Trust Indenture Act, so the indenture must be qualified on Form T-3.

Are T-3 filings tied to bankruptcy?

Often. Plans of reorganization commonly issue new notes under Section 1145, which requires a T-3.
