What is SD?

Form SD is the specialized disclosure report created under Section 1502 of the Dodd-Frank Act. Companies that manufacture products containing tin, tantalum, tungsten or gold (3TG) must determine whether those minerals originated in the Democratic Republic of the Congo or adjoining countries and report the result on Form SD, often with a Conflict Minerals Report as Exhibit 1.01.

The form is filed once a year, and the reports describe supplier surveys, smelter and refiner identification and due diligence frameworks.

Who files

Exchange Act reporting companies that manufacture, or contract to manufacture, products for which 3TG minerals are necessary.

When it is filed

Annually, by May 31, covering the prior calendar year.
