Schedule 14D-1 was the tender offer statement a bidder filed when making a tender offer for more than 5% of a class of registered equity securities. It disclosed the bidder's identity, the terms of the offer, the source of funds and the purpose of the transaction.
The SEC's 2000 revisions to the tender offer rules combined Schedule 14D-1 and Schedule 13E-4 into Schedule TO, so EDGAR filings on this type stop in early 2002.
