What is S-3ASR?

The 2005 Securities Offering Reform created automatic shelf registration for well-known seasoned issuers (WKSIs), generally companies with at least $700 million of common equity public float or $1 billion of non-convertible securities issued in three years. An automatic shelf on Form S-3 becomes effective immediately, and EDGAR tags it S-3ASR.

With tens of thousands of filings since December 2005, S-3ASR is where large companies register debt and equity programs. Actual takedowns appear as 424B2, 424B3, 424B5 or 424B7 prospectus supplements.
