Form S-2 sat between the full Form S-1 and the shelf-eligible Form S-3: reporting companies that did not qualify for S-3 could deliver their annual report with the prospectus instead of repeating all of it.
The SEC eliminated Form S-2 (and F-2) in its 2005 securities offering reform, which expanded incorporation by reference on Form S-1. The last S-2 filings date from late 2005.
Reporting companies that had filed reports for at least a year but did not qualify for Form S-3.
