REGDEX is the EDGAR submission type for Form D notices that companies filed on paper before the SEC made Form D an electronic, structured filing. Each record marks a private placement claimed under Regulation D or Section 4(6): the issuer, the filing date and an accession number.
Electronic Form D became mandatory in March 2009, which is when REGDEX stops. For structured offering amounts, investors and related persons use the electronic Form D dataset; REGDEX is the way to see which companies raised private capital before that.
Issuers relying on a Regulation D exemption (or Section 4(6)) for an unregistered offering, before electronic Form D.
Within 15 days after the first sale of securities in the offering, as with Form D today. Paper filing ended in 2009.
