What is PREM14C?

When a merger or acquisition is approved by written consent of majority holders rather than at a meeting, Regulation 14C requires the company to send an information statement to the other shareholders. PREM14C is the preliminary version, filed so the SEC can review it before it is mailed.

Controlled companies and companies with concentrated ownership use this route; it often signals a deal that does not need a proxy fight or vote solicitation.

Who files

Companies whose merger or acquisition is approved by majority written consent.

When it is filed

At least 10 calendar days before the definitive information statement is sent, under Rule 14c-5.

FAQ

Why file an information statement instead of a proxy?

When majority holders approve by written consent, no proxies are solicited, so Regulation 14C requires an information statement instead.
