When a merger, acquisition or sale of assets needs a shareholder vote, the target, and sometimes the acquirer, files a preliminary proxy statement with the SEC. EDGAR tags it PREM14A. The SEC staff may review and comment, and the company then files the definitive version as DEFM14A.
PREM14A is often the first full public description of a deal: the background of the merger, the board's reasons, the financial advisor's fairness opinion and the projections used. That makes it one of the most read filings in M&A research.
Companies soliciting shareholder votes on mergers, acquisitions or similar transactions.
At least 10 calendar days before the definitive proxy is sent, under Rule 14a-6(a).
