POSASR is the submission type for a post-effective amendment to an automatic shelf registration statement. Automatic shelf registration was created by the SEC's 2005 Securities Offering Reform for well-known seasoned issuers (WKSIs), whose shelf registrations and amendments become effective immediately on filing.
WKSIs file POSASR to add new classes of securities or new registrants (for example subsidiary guarantors) to an existing shelf, or to update it, without waiting for SEC review.
Well-known seasoned issuers with an effective automatic shelf registration (S-3ASR or F-3ASR).
Whenever the issuer amends its automatic shelf; the amendment is effective on filing. First filings date from December 2005.
