Securities Act Rule 462(d) lets an issuer file a post-effective amendment solely to add exhibits, and the amendment becomes effective as soon as it is filed. EDGAR labels it POS EX.
Typical exhibits are updated legal opinions, tax opinions, auditor consents and underwriting agreements for shelf takedowns. Closed-end funds and REITs with continuous offerings use it often to add opinions for new share classes.
Issuers with an effective Securities Act registration statement, including closed-end funds and non-traded REITs.
Whenever exhibits must be added after effectiveness, with no other change to the registration statement.
