What is POS AMI?

POS AMI is the submission type for a post-effective amendment filed only under the Investment Company Act of 1940. It is used by funds that are registered under the 1940 Act but do not register their shares under the Securities Act, such as master funds in master-feeder structures and privately offered registered funds.

Because there is no public offering, these amendments update the fund's registration information without a prospectus for public sale.

Who files

When it is filed

When the fund updates its Investment Company Act registration statement, often annually.
