What is NT 10-Q?

NT 10-Q is the EDGAR submission type for a Form 12b-25 notification of late filing that covers a quarterly report. A company that cannot file its 10-Q on time files the notice by the next business day after the due date, explains the reason and gets an automatic five calendar day extension.

Late filings are a well known warning sign. The narrative part often mentions restatements, auditor issues, impairment reviews or financing trouble before any other filing does, which makes the notices useful for risk screens.

Who files

Any company required to file Form 10-Q (or, historically, 10-QSB) that cannot file it on time.

When it is filed

No later than one business day after the 10-Q due date. The 10-Q is then due within five calendar days to be treated as timely.
