What is N-54C?

A company becomes a business development company by filing Form N-54A. Form N-54C is the reverse: notification of withdrawal of that election under Section 54(c) of the Investment Company Act. After it is filed, the company is no longer subject to the BDC provisions of the Act.

BDCs withdraw when they liquidate, merge into another fund, convert to an operating company or register as a closed-end fund. The filing is short, but it marks the end of a BDC's regulatory life.

Who files

Business development companies that previously elected BDC status on Form N-54A.

When it is filed

When the company decides to stop being a BDC, often in connection with a liquidation, merger or conversion.
