Section 219 of the Iran Threat Reduction and Syria Human Rights Act of 2012 added Section 13(r) to the Exchange Act. Issuers must disclose in their periodic reports certain activities by them or their affiliates relating to Iran, and must file a separate notice that the report contains such disclosure. EDGAR labels that notice IRANNOTICE.
Filers include large banks, energy and telecom groups whose affiliates had reportable dealings, and fund complexes. The SEC forwards these notices to the President and Congress.
Exchange Act reporting companies whose periodic report includes Section 13(r) disclosure.
Concurrently with the 10-K or 10-Q that contains the disclosure.
