print(r.json())What is F-4?
Form F-4 is the foreign private issuer counterpart of Form S-4. A non-US company that issues its own shares as consideration in a merger, an exchange offer or a reorganization registers those shares on F-4. It is also the form for many de-SPAC transactions in which the combined company is a foreign private issuer.
The F-4 combines a prospectus for the new securities with the proxy or information statement for the target's holders: deal terms, background of the merger, fairness opinions, pro forma financials and risk factors.
Foreign private issuers registering securities to be issued in a business combination.
Before the securities are offered to the target's holders; amended (F-4/A) through SEC review until effectiveness.
