What is DEL AM?

Under Section 8(a) of the Securities Act a registration statement becomes effective automatically 20 days after filing unless the issuer delays it. A delaying amendment under Rule 473 prevents that so the SEC can finish its review. Most issuers include the delaying language on the cover page; DEL AM is used when it is filed separately.

A DEL AM is a small filing, but it signals a registration that is still in review and not yet ready to go effective.

Who files

Issuers with a pending Securities Act registration statement.

When it is filed

Before automatic effectiveness would occur.

An amendment under Rule 473 that keeps a registration statement from going effective automatically after 20 days.

Why file it separately?
