Regulation AB II (2014) requires issuers of shelf-registered asset-backed securities to file a preliminary prospectus under Rule 424(h) at least three business days before the first sale, giving investors time to analyze the pool. These filings are the 424H type.
A 424H describes the transaction structure, the asset pool, the waterfall and the parties, and is often accompanied by asset-level data on ABS-EE for asset classes that require it.
