Rule 12g3-2(b) lets a foreign private issuer with a US investor base (often through unsponsored ADRs) avoid Exchange Act registration if it publishes its home country disclosure. Until 2008 issuers furnished that material to the SEC on paper, indexed as 12G3-2B.
The SEC's 2008 amendments replaced the paper submissions with publication of the information on the issuer's website, which is why the filings end in October 2008. Filed on paper: the EDGAR record has the filer, date and accession number, and the document itself is an auto-generated placeholder that points to the SEC's paper copy.
