What is 11-K?

Form 11-K is the annual report for an employee stock purchase, savings or similar plan whose interests are registered with the SEC, usually because the plan lets employees buy the sponsor's stock. A 401(k) plan with a company stock fund is the common case.

The core of an 11-K is the plan's audited financial statements: net assets available for benefits, changes in net assets and the schedule of assets held. It shows how much of the plan sits in employer stock.

Who files

Employee stock purchase, savings and similar plans registered under the Securities Act (filed by the plan or the sponsoring company).

When it is filed

Within 90 days after the plan's fiscal year end, or within 180 days when the plan files financial statements prepared under ERISA.

90 days after the plan's fiscal year end, or 180 days when the plan's financial statements are prepared under ERISA.

Why does a 401(k) plan file with the SEC?
