Form 10-KSB was the annual report for small business issuers under Regulation S-B, with scaled disclosure compared with Form 10-K. It covered the business, properties, legal proceedings, management's discussion, financial statements and executive compensation.
The SEC eliminated Regulation S-B and its forms in 2008, moving smaller companies to Form 10-K with scaled disclosure for smaller reporting companies. EDGAR shows the last 10-KSB filings in early 2009.
Small business issuers (US or Canadian companies with revenues and public float under $25 million) that chose the S-B system.
Within 90 days after fiscal year end. No longer filed; the form was phased out for fiscal years ending after December 15, 2008.
